CONTRACT
CROVA RECORDS -- LABEL & DISTRIBUTION MANAGEMENT AGREEMENT Effective as of January 01, 2026.
This Agreement is a binding legal agreement between you and CROVA RECORDS, a CROVA ENTERTAINMENT company.
CLARIFICATION OF SERVICES: CROVA RECORDS currently operates as a Record Label, not as a direct digital distributor. This status may change at any time. CROVA RECORDS reserves the right to transition into a direct digital distributor. Currently, our service manages and facilitates the distribution of your recordings through our network of third-party distribution partners.
1. THE LABEL SERVICE, DISTRIBUTION AND ARTIST MANAGEMENT a. Distribution Facilitation: CROVA RECORDS facilitates upload of your files to our distribution network including: Amuse, CD Baby, TuneCore, AWAL, The Orchard, DistroKid, RouteNote, and 150+ global platforms. b. Profile Linking and Creation: CROVA RECORDS will request the necessary information solely to CREATE and LINK your Artist Profiles and Official Artist Channels (OAC) on platforms such as Spotify, Apple Music, YouTube (primarily), TikTok, Instagram, and others. CROVA RECORDS will NOT control or manage these accounts. The Artist retains total freedom to manage their artist accounts, provided they maintain a basic professional standard. c. Recording Specifications: Recordings must be musical sound recordings in single track, EP, or album configurations. d. Metadata: You must provide all accompanying metadata. CROVA RECORDS will review and format this data. e. AI-Generated Content Disclosure: The Artist MUST explicitly notify CROVA RECORDS prior to distribution if any part of the recording (instrumental, vocals, or lyrics) was generated using Artificial Intelligence tools. Transparently tagging AI content is essential to navigate modern distribution copyright filters. Failure to declare AI usage may result in track takedowns or blocks by Digital Stores, for which the Artist assumes full responsibility.
2. DISTRIBUTION PARTNERS AND STORE POLICIES a. Third-Party Agreements: Each third-party distribution company has its own independent contracts. By accepting CROVA RECORDS services, you agree to be bound by the terms of any distribution company utilized by the Label. b. Non-Exclusive Relationship: The rights you grant to CROVA RECORDS are non-exclusive. c. Processing Times: Processing time depends on the specific distributor and platform. d. Pricing and Format: Each Digital Store determines pricing at its discretion. e. Anti-Fraud and Artificial Streaming: The Artist strictly agrees NOT to use any third-party services that guarantee streams, bots, or artificial engagement (e.g., pay-for-play playlisting). If a Digital Store or Distributor flags the Artist's recordings for artificial streaming, CROVA RECORDS reserves the right to immediately remove the tracks, suspend the Artist's account, and withhold any fraudulent royalties as required by the Digital Stores.
3. LIABILITY AND COVENANT NOT TO SUE, AND TERMINATION a. ANY legal issue, copyright claim, or dispute arising from your recordings is entirely your responsibility, NOT the responsibility of CROVA RECORDS. b. You WILL NOT INITIATE LEGAL ACTION against the Label. All legal liabilities regarding the content of Recordings are assumed entirely by you. c. Voluntary Termination (Cutting Ties): If the Artist is unsatisfied with the Label's services, the Artist has the right to cut ties and terminate this Agreement at any time. d. Pending Payments Upon Termination: Upon termination, any royalties accrued and owed during the pending payment cycle will be paid to the Artist as normally scheduled. For example, if a digital store issues royalties on the 17th, but the Artist terminated the agreement on the 10th, the Label will process and pay those funds on the standard payout date (excluding the Label's standard percentage). e. Takedown Fees and Penalties: In the event that a recording is removed from Digital Stores due to a copyright infringement claim or violation of store policies by the Artist, any financial penalties or takedown fees imposed by the distributors will be deducted directly from the Artist's pending royalties.
4. TERM AND RENEWAL a. Term is one (1) year from the Effective Date, renewing automatically.
5. ARTIST CONDUCT AND REPUTATION a. Standard of Professionalism: The Artist agrees to maintain a basic level of professionalism in managing their social media and public image. The Label is highly flexible regarding what constitutes "professional" behavior, serving only to establish a baseline of respect. b. Warning System (Strikes): If the Artist refuses to adhere to these basic standards, they will be notified. If the unprofessional conduct persists beyond three (3) official warnings ("strikes"), CROVA RECORDS reserves the right to penalize the Artist by reducing their additional earned royalty percentage by up to 5% (dropping down towards the fixed base rate of 70%).
6. PAYMENT, REVENUE SHARE AND SCHEDULE a. Earnings will be credited to your account minus the percentage stipulated in your active plan. b. Guaranteed Base and Upward Scalability: The Artist is guaranteed a fixed base of 70% of net earnings. This percentage is variable ONLY UPWARDS. Based on Label internal decisions and Artist progression, the Artist's percentage can gradually increase (in increments of 1% or more) up to a maximum of 90%. c. Advance Notice of Changes: In the event of a percentage change (whether an increase for performance or a reduction due to conduct penalties), there will be no abrupt changes without notice. The Artist will be notified with at least one payment cycle of advance notice. d. Quarterly Payments: Payments are processed quarterly (every three months). Digital Stores typically report royalties on a 2-3 month delay.
7. NEW STAR PROGRAM (LABEL & GROWTH DIVISION) The NEW STAR Program is designed for independent artists seeking professional management and global reach without upfront costs. - Guaranteed Base & Scalable Earnings: Artists receive a FIXED 70% of net earnings, which can scale UPWARDS to 90% based on internal decisions. Changes are notified at least one cycle in advance. Payments are quarterly. - Full Label Support: Global distribution through Amuse, CD Baby, TuneCore, AWAL, The Orchard, DistroKid, RouteNote, 150+ more. - No Upfront Costs: We only earn when you earn. - Artist Ownership: You maintain 100% ownership of your copyrights and content. - Professional Promotion: Digital marketing, playlist pitching, and social media campaigns. - Marketing Discretion: While CROVA RECORDS provides promotional support, the specific strategies, financial budget, and platforms used for any campaign are determined at the sole and absolute discretion of the Label based on internal performance metrics. - 24/7 Dedicated Support: Help with distribution, marketing, and copyright questions.
8. REPRESENTATIONS AND WARRANTIES You warrant that you own 100% of the rights to the material delivered to CROVA RECORDS. You indemnify CROVA RECORDS against any third-party claims.
9. LIMITATION OF LIABILITY The aggregate liability of CROVA RECORDS shall not exceed the monies actually due to you under your active plan.
10. DATA PRIVACY AND ANTI-SCAM SECURITY PROTOCOL a. Data Protection: CROVA RECORDS will NEVER steal, sell, or distribute the personal or professional information of any of its artists to unauthorized third parties. b. Secure Access Requests: If CROVA RECORDS requires access to the Artist accounts, the request will follow a strict two-step verification process: (i) The Artist will receive an official email from CROVA RECORDS. (ii) Simultaneously, the Artist will receive a direct message to their internal CROVA RECORDS artist account. (iii) Both communications will contain a MATCHING unique security code. The Artist MUST verify that these codes match before sharing any sensitive information.
